3. Intellectual Property

 

This section sets forth, in a single unified statement, all trademark, trade dress, artistic, product-design, and source-code rights claimed by LOL CAP LLC across its consumer products division and its video game development division. LOL CAP LLC owns and operates X-ILE Studios™ as its official video game development and publishing division. References to "the Company's intellectual property" throughout this page include, collectively, LOL CAP-branded consumer goods, X-ILE Studios™ properties, and all game titles developed or published under that division, unless the context indicates otherwise.

 

3.1 Trademark Notice

 

The name "LOL CAP," the LOL CAP logo, and associated slogans, taglines, and brand identifiers used by the Company in connection with its products and services are trademarks of LOL CAP LLC. The Company claims trademark rights in these marks to the fullest extent available under applicable law, whether such rights arise through registration, common-law use, or both.

The appearance of any name, logo, or mark on the Site — with or without the ™ or ® symbol — is not a waiver of any trademark, common-law, or other intellectual property right that LOL CAP LLC may hold in that name, logo, or mark.

 

3.2 Common-Law Trademark Claims

 

To the extent any mark identified on the Site is not currently the subject of a federal trademark registration, LOL CAP LLC claims common-law trademark rights in that mark under applicable United States law, arising from the Company's use of the mark in commerce in connection with the goods and services described on the Site. The use of the ™ designation anywhere on the Site constitutes a formal claim of common-law trademark rights, regardless of registration status. LOL CAP LLC reserves the right to pursue federal or state trademark registration for any of its marks at its sole discretion.

 

3.3 Corporate Structure and Gaming Division

 

LOL CAP LLC is the parent company and sole owner and operator of X-ILE Studios™, which serves as the Company's official video game development and publishing division. X-ILE Studios™ is not a separate legal entity from LOL CAP LLC; it is a division and brand operating under LOL CAP LLC's ownership and control. LOL CAP LLC claims common-law trademark rights in the name "X-ILE Studios™" as used in connection with the development, publication, marketing, distribution, and promotion of video games, interactive entertainment software, digital media, and related goods and services.

 

3.4 Video Game Titles and Related Intellectual Property

 

X-ILE Studios™, as a division of LOL CAP LLC, develops and publishes the following video game properties. LOL CAP LLC claims common-law trademark rights in each of the following titles:

• Delta Velocity™, including its abbreviated title Delta V™ (referring to the same game), as used in connection with the video game itself and any related software, downloadable content, artwork, branding, promotional materials, merchandise, and associated media.

• CASTELLUM™, as used in connection with the video game itself and any related software, downloadable content, artwork, branding, promotional materials, merchandise, and associated media.

All names, titles, logos, characters, artwork, storylines, game mechanics, level and world designs, user interfaces, audiovisual works, musical scores and sound design, and other creative or technical elements associated with Delta Velocity™ / Delta V™, CASTELLUM™, and any other current or future X-ILE Studios™ title are the intellectual property of LOL CAP LLC, unless otherwise indicated. Unauthorized use, reproduction, imitation, modification, distribution, or any use likely to cause confusion as to the source, sponsorship, or affiliation of these marks or associated intellectual property is strictly prohibited.

 

3.5 Logos & Branding

 

All logos, wordmarks, icons, brand colors, typographic treatments, and visual identity elements used by LOL CAP LLC and X-ILE Studios™ — including any game-specific logos for Delta Velocity™ / Delta V™ and CASTELLUM™ — are proprietary assets of LOL CAP LLC. These branding elements may not be copied, altered, imitated, or used in connection with any product, service, promotion, or publication without prior written consent.

 

3.6 Trade Dress

 

LOL CAP LLC claims trade dress rights in the overall look, feel, and visual presentation of its products, packaging, product photography style, website design, and promotional materials, to the extent such presentation is non-functional and serves to identify the source of the Company's goods to consumers. This includes distinctive packaging design, label layout, color schemes, and product presentation associated with LOL CAP-branded physical products and X-ILE Studios™ game packaging or digital storefront presentation.

 

3.7 Artwork & Creative Assets

 

All original artwork, illustrations, character designs, concept art, promotional imagery, photography, video content, and other creative assets appearing on the Site or used in connection with the Company's products or games are the property of LOL CAP LLC, except where a specific asset is identified as licensed from a third party. This includes creative assets associated with physical merchandise as well as in-game artwork, cutscenes, cover art, and marketing materials for Delta Velocity™ / Delta V™ and CASTELLUM™.

 

3.8 Product Design Rights

 

LOL CAP LLC claims all applicable design rights in the appearance, ornamentation, and non-functional design features of its physical products, including apparel and other consumer goods sold through the Site and through third-party marketplaces such as Amazon. This includes original graphic designs, print placements, and distinctive design combinations applied to physical merchandise, to the extent such elements are protectable under applicable copyright, design patent, or trade dress law.

 

3.9 Source Code Ownership

 

All proprietary source code, scripts, and underlying technical architecture used to build and operate the Site are the property of LOL CAP LLC, except for open-source components or third-party libraries used under their respective licenses. Similarly, all proprietary source code, game logic, and technical architecture developed by or for X-ILE Studios™ in connection with Delta Velocity™ / Delta V™, CASTELLUM™, and any other title are the property of LOL CAP LLC. Where a game is built using a licensed third-party game engine, middleware, or software development kit, the underlying engine or middleware remains the property of its respective licensor, and LOL CAP LLC's ownership claim extends only to the original code, assets, and content created by or for the Company.

 

4. Reservation of Rights

 

All rights not expressly granted in writing are reserved by LOL CAP LLC. No license, right, or permission to use any trademark, copyright, trade dress, or other intellectual property of LOL CAP LLC is granted by implication, estoppel, or otherwise merely through access to or use of the Site.

 

5. Licensing Requests and Authority to Grant Permission

 

LOL CAP LLC welcomes inquiries regarding collaborations, licensing, press use, and other authorized uses of its intellectual property. All such requests must be submitted in writing to lolcap.llc@gmail.com or through the Contact Us page.

No permission to use LOL CAP LLC's intellectual property — including its logos, trademarks, designs, artwork, products, or any X-ILE Studios™ property — is valid unless granted in writing by Davis Rush, CEO and Founder of LOL CAP LLC. No other employee, contractor, representative, or associate of the Company has actual or apparent authority to grant such permission, and any purported authorization from another individual is void and without effect.

 

6. Commercial Use Restrictions

 

No content, artwork, product design, logo, game asset, or other material appearing on the Site may be used for any commercial purpose — including resale, promotional use, incorporation into another product, or use in connection with any business, event, or publication — without the prior written consent of LOL CAP LLC obtained in accordance with Section 5 above. Digital products, downloadable materials, and media made available through the Site are licensed for personal, non-commercial use only, unless expressly stated otherwise in writing.

 

7. User-Generated Content

 

By submitting any content to LOL CAP LLC or the Site — including reviews, comments, photographs, videos, social media tags, or other user-submitted material — you grant LOL CAP LLC a perpetual, worldwide, royalty-free, irrevocable, and fully transferable license to use, reproduce, display, distribute, modify, and create derivative works from that content, in any medium now known or later developed, at the Company's sole discretion. By submitting content, you represent and warrant that you own or otherwise control all rights to the content submitted, and that such content does not infringe or violate the rights of any third party. LOL CAP LLC reserves the right to remove or decline to use any submitted content, without notice or obligation, for any reason, including content that does not represent the Company appropriately or that appears to be spam.

LOL CAP LLC respects the intellectual property rights of others and expects the same of users of the Site.
